These Terms and Conditions (“Terms”) govern your access to and use of the website located at www.pristinemgmt.com (the “Site”) and any content, features, forms, or online tools provided through the Site (collectively, the “Services”). Pristine Management, LLC (“Pristine Management,” “we,” “us,” or “our”) provides professional HOA and Metro District management services across Colorado.

By accessing or using the Site, submitting a form, creating an account, or clicking a consent button, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site. If you use the Site on behalf of a community association, board, or other organization, you represent that you have authority to bind that entity.

Scope of These Terms

These Terms apply to your use of our website and online tools only. They do not replace or modify any written management agreement, service contract, or governing documents between Pristine Management and a homeowners association, metro district, or other common interest community. In the event of a conflict between these Terms and a signed management agreement, the signed agreement controls with respect to management services.

Information on the Site about our HOA management, Metro District services, lender services, and related offerings is provided for general informational purposes. Content on the Site does not constitute a contract, quote, guarantee, or professional advice. Any management services are governed by a separate written agreement executed with the applicable association or district.

Eligibility and Geographic Use

The Site is intended for users 18 years of age or older in the United States. We operate primarily in Colorado and do not represent that the Site is appropriate or available in other jurisdictions. Pristine Management acts as an agent of the associations and districts we serve and has no authority to make decisions on behalf of an association unless authorized by the board of directors and the applicable management contract.

Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, state, or local law or regulation
• Attempt to gain unauthorized access to any portion of the Site, accounts, computer systems, or networks
• Interfere with the security or proper function of the Site
• Use the Site to transmit harmful or disruptive code, including viruses or malware
• Use automated scraping, crawling, or data extraction without our prior written consent
• Misrepresent your identity, affiliation, or authority to act on behalf of an association or homeowner

We reserve the right to suspend or terminate access to the Site for any user who violates these Terms or to protect users, associations, and the integrity of the Site.

No Legal, Tax, or Financial Advice

Content on the Site is offered for general information only and does not constitute legal, tax, accounting, or financial advice. You should not rely on Site content as a substitute for consultation with qualified professionals. Decisions regarding your association, district, or property should be made by the applicable board of directors or governing body, in consultation with appropriate advisors.

Accounts, Forms, and Online Tools

When the Site offers contact forms, request-for-proposal tools, homeowner portals, or other online features, you agree to provide accurate and current information. You are responsible for maintaining the confidentiality of any login credentials and for all activity under your account. You agree to notify us promptly of any unauthorized access or use of your account. We may decline, suspend, or modify access to any feature at any time as permitted by our contracts and applicable law.

Management Services and Fee Disclosure

All contracts and agreements between Pristine Management and a common interest community must be in writing and must contain the entire agreement of the parties, as required by Colorado law. Written management agreements clearly specify the terms, scope, and compensation for services to be performed.

In accordance with Colorado Revised Statutes § 12-61-1004.5, Pristine Management discloses to each association's executive board all fees and charges applicable to the community, unit owners, and purchasers of units. Fees and charges—including transfer fees—are enforceable only when explicitly disclosed in the management contract or documented as a clearly identified line item on a real estate closing settlement statement. Upon request by an owner, buyer, seller, or their agent, fee information will be provided in writing within three business days, at no charge.

Intellectual Property

All content on the Site, including text, graphics, logos, images, and software, is owned by or licensed to Pristine Management and is protected by applicable intellectual property laws. You may view and print content for personal, non-commercial use related to your inquiry or association, provided you do not remove copyright notices or create derivative works. Any other use, reproduction, or distribution without our prior written permission is prohibited.

Third-Party Links and Services

The Site may link to third-party websites, homeowner portals, payment processors, or document platforms such as Vantaca or HomeWiseDocs. We provide these links for convenience only and do not control or assume responsibility for third-party content, policies, or practices. If you access a third-party site or service from the Site, you do so at your own risk and are subject to that third party's terms and privacy policies.

Privacy

Our Privacy Policy explains how we collect, use, and protect personal information. By using the Site, you consent to our data practices as described in the Privacy Policy.

Our total liability to you for any claim arising out of or related to these Terms or your use of the Site shall not exceed the amount you paid, if any, to access the Site (excluding assessments or fees owed to your association or district). Some jurisdictions do not allow certain exclusions or limitations of liability; in such cases, the above limitations may not fully apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Pristine Management, LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.

Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will revise the effective date at the top of this page. Your continued use of the Site after such changes constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you should discontinue use of the Site.

Governing Law and Venue

These Terms and your use of the Site are governed by the laws of the State of Colorado, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Site shall be brought in the state or federal courts located in Adams County, Colorado, and you consent to the exclusive jurisdiction and venue of such courts, except where Colorado law requires otherwise.
